When a company applies for an E&O policy, the company representative is typically asked in the insurance application paperwork to state whether the company has any knowledge of "circumstances, acts, errors or omissions that could result in a professional liability claim." This question assumes that:

  • The company representative has full knowledge of all activities within the business, and
  • That it is possible to foresee when a given issue could result in a claim.

Unfortunately for many businesses, failing to foretell the future can result in denial of a professional malpractice claim and/or in rescission of your E&O policy. If an insurer denies your E & O claim without proper investigation or rescinds your policy without valid grounds, the insurer may be subject to a bad faith action.
